1. Purpose

These Terms and Conditions (hereinafter "Terms") aim to define the terms and conditions under which Oscar AI Solutions (hereinafter "Oscar") provides its SEO and GEO automation services via its software platform (hereinafter "the Service") to its professional clients (hereinafter "the Client").

Any order or signature of a quote implies the Client's full and complete acceptance of these Terms, unless specific conditions are expressly accepted in writing by Oscar.

2. Services

Oscar provides a SaaS (Software as a Service) service allowing automation of SEO content creation, publication, and optimization.

Upon signing the quote or online order validation, Oscar proceeds to connect the Service to the Client's website, after receiving the necessary access (CMS, API, or other).

Installation and startup of the Service constitute acceptance of immediate execution of the service.

3. Pricing and Billing

Subscription and service prices are indicated in euros excluding taxes on the websites www.oscar-seo.ai and www.ia-oscar.com.

Prices displayed on the website are expressed on a monthly basis for indicative purposes. However, subscribing to a quarterly plan implies upfront invoicing and payment of three (3) months, and subscribing to an annual plan implies upfront invoicing and payment of twelve (12) months in a single installment, according to the billing period chosen by the Client.

Oscar reserves the right to modify its prices at any time, provided the Client is informed before any subscription renewal.

An invoice is issued on the date of quote signature or at the beginning of each subscription period (monthly, quarterly, or annual).

Payment is due upon receipt of invoice and must be made within a maximum of fifteen (15) calendar days from the issue date.

4. Payment Terms

Payment can be made by credit card, bank transfer, or any other means accepted by Oscar.

In case of late payment, late payment penalties will be automatically applied without any reminder being necessary, at 3 times the legal interest rate, as well as a fixed compensation of €40 for recovery costs (article L441-10 of the French Commercial Code).

Oscar reserves the right to suspend access to the Service in case of non-payment at maturity.

5. Duration and Termination

Subscriptions are concluded without commitment, unless otherwise stipulated (quarterly or annual subscription at preferential rate).

The Client can cancel at any time via their customer area or by written request to Oscar.

Any subscription period started remains due in full.

Oscar reserves the right to terminate or suspend access to the Service in case of Client's breach of obligations, particularly in case of non-payment.

6. Client Obligations

The Client agrees to:

Provide Oscar with the technical access necessary for Service implementation;
Not modify or alter the Service's operation without prior authorization;
Use the Service in compliance with applicable legislation (particularly regarding data and intellectual property).

The Client remains responsible for content published on their site via the Service.

7. Liability

Oscar commits to providing the Service with diligence and professionalism, in accordance with industry standards.

However, Oscar cannot be held responsible for lack of SEO results, as these depend on many external factors (competition, search engine algorithms, technical quality of the Client's site, etc.).

In no case shall Oscar's liability exceed the total amount invoiced to the Client over the last six (6) months.

8. Data and Confidentiality

Oscar processes Client data in compliance with GDPR.

Data is hosted on secure servers within the European Union.

Oscar commits to never sell or share Client data with third parties without explicit consent.

9. Intellectual Property

Oscar retains full ownership of its technology, algorithms, and platform.

Content generated via the Service belongs to the Client, who can use it freely upon publication.

10. Applicable Law and Jurisdiction

These Terms are governed by French law.

Any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Saint-Étienne (France).
